• Late payments may incur additional charges, and I reserve the right to suspend or terminate services if payments are not made on time.
• Currency: All payments are to be made in either US Dollars (USD) or in Indian Rupees (INR) unless otherwise agreed.

6. Intellectual Property

• Ownership: All content, designs, code, and other intellectual property created by me during the course of a project remain my property until full payment has been received.
• Upon full payment, ownership of deliverables will be transferred to the Client, except for any third-party materials (such as stock images or software) which remain subject to the respective third-party licenses.
• You may not reproduce, distribute, or modify any content from the Site or services without my express written consent.

7. Client Responsibilities

• The Client agrees to provide all necessary information, materials, and access required for me to perform my services in a timely manner.
• The Client is responsible for ensuring that they have the necessary rights to any materials they provide for use in the project.
• I shall not be held responsible for delays or issues arising from incomplete or inaccurate information provided by the Client.

8. Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project.
• This includes, but is not limited to, business strategies, personal information, project details, and any other sensitive information.

9. Limitation of Liability

• No Guarantees: While I strive to provide high-quality services, I do not guarantee specific results or outcomes, including but not limited to increased sales, traffic, or rankings.
• Liability Cap: In no event shall I be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of my services. My total liability, whether in contract, tort, or otherwise, is limited to the fees paid by the Client for the particular project in question.
• Third-Party Tools: I may use third-party tools and services (such as hosting platforms, payment gateways, or software), but I am not responsible for any issues or liabilities that arise from these third-party services.

10. Termination

• Either party may terminate the agreement by providing written notice if the other party is in material breach of these Terms or any other agreements.
• If I terminate the project for reasons of non-payment or other breaches by the Client, no refunds will be issued, and any remaining work will cease immediately.
• Upon termination, the Client will be required to pay for any services rendered up to the point of termination.

11. Refund Policy

• All fees are non-refundable unless otherwise specified in a separate agreement.
• In cases where I am unable to deliver the agreed-upon services due to unforeseen circumstances, partial refunds may be considered at my discretion.

12. Dispute Resolution

In the event of a dispute, both parties agree to make reasonable efforts to resolve the matter amicably through negotiation. If a resolution cannot be reached, the dispute may be submitted to binding arbitration under Indian law.

13. Governing Law

These Terms of Use and any separate agreements are governed by and construed in accordance with the laws of India. Any legal action or proceeding related to these Terms will be brought exclusively in the courts located in Mohali, Punjab.

14. Force Majeure

I will not be liable for any failure or delay in performing my obligations under these Terms due to circumstances beyond my control, including but not limited to acts of God, war, strikes, pandemics, or disruptions to the internet or communication systems.

15. Changes to Terms

I reserve the right to update or modify these Terms at any time without prior notice. It is the responsibility of the User or Client to review these Terms periodically. Continued use of the Site or services after any modifications constitute acceptance of the updated Terms.
